The Annual Meeting of Shareholders of Martin Marietta Materials, Inc. will be held on Thursday, May 14, 2020 at 11:30 a.m. EDT at
our principal office located at 2710 Wycliff Road, Raleigh, North Carolina. At the meeting, the holders of our outstanding common
stock will act on the following matters:

1 Election as Directors the ten (10) nominees named in the attached proxy statement, each to serve for a one-year term
until 2021, and until their successors are duly elected and qualified;

2 Ratification of the appointment of PricewaterhouseCoopers LLP as independent auditors for 2020;

3 Advisory vote to approve the compensation of our named executive officers; and

4 Any other business that may properly come before the meeting.

All holders of record of Martin Marietta common stock (NYSE: MLM) at the close of business on March 6, 2020 are entitled to notice of
and to vote at the Annual Meeting and any adjournments or postponements of the meeting.

The Board of Directors unanimously recommends that
you vote FOR proposals 1, 2, and 3.

This notice and the accompanying proxy statement are being first mailed to shareholders on or about April 16, 2020. We have enclosed
our 2019 Annual Report to Shareholders. The report is not part of the proxy soliciting materials for the Annual Meeting.
Whether or not you expect to attend the meeting, we hope you will date and sign the enclosed proxy card and mail it promptly in
the enclosed stamped envelope. Submitting your proxy now will not prevent you from voting your shares at the meeting, as your proxy
is revocable at your option.
